Intellectual Property

You agree that Dot Com Today or its licensor holds all the rights, title and interest in all Software and Dot Com Today Services and all intellectual property, including other rights related to intangible property, unless otherwise indicated. You acknowledge that no title or interest in such Intellectual Property Rights is being transferred to you and you agree to make no claim of interest in any such Services or Software.

You understand and agree that all content and materials contained in this Agreement, other policies, the Dot Com Today web site, and any affiliated web sites, are protected by the various copyright, patent, trademark, service mark and trade secret laws of the United States, as well as other applicable proprietary rights and laws, and that Dot Com Today or its licensor expressly reserves its right in and to all such content and materials. You further understand and agree that you are prohibited from using, in any manner whatsoever, any of the content or materials described above without the express written permission of Dot Com Today or its licensor. No license or right under any copyright, patent, trademark, service mark or other proprietary right or license is granted to you or conferred upon you by this Agreement or otherwise.


Indemnification

You agree to defend, indemnify and hold harmless Dot Com Today, its subsidiaries, affiliates, licensors, employees, agents, third party information providers and independent contractors against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorney’s fees) arising out of or related to any User Content that you post, store or otherwise transmit on or through the Site, your conduct, your use or inability to use the Site, your breach or alleged breach of the Site Terms or any representation or warranty contained herein, your unauthorized use of the Dot Com Today Content, or your violation of any rights of another.


Fees and Payment

As consideration for the Services purchased by you and provided to you by Dot Com Today, you agree to pay Dot Com Today at the time you order. All fees are due immediately and are non-refundable unless otherwise expressly noted, even if your Services are suspended, terminated, or transferred prior to the end of the Services term. Dot Com Today expressly reserves the right to modify pricing through email notification and/or notice on its web site. Payment must be made by you by providing a valid credit card or personal check, (“Prepaid Services”) to establish a cash reserve for charge by Dot Com Today (collectively, the “Payment Method”). Your Prepaid Services account may be funded by a money order or a personal check under as further described, below. Your Payment Method on file must be kept valid to access or continue to use Dot Com Today Services or Products. 

If for any reason Dot Com Today is unable to charge your credit card or Payment Method for the full amount owed Dot Com Today for the Services provided, or if Dot Com Today is charged a penalty for any fee it previously charged to Your Payment Method, you agree that Dot Com Today may pursue all available remedies in order to obtain payment. If you pay by credit card and if for any reason Dot Com Today is unable to charge your credit card with the full amount of the Services provided, or if Dot Com Today is charged back for any fee if previously charged to the credit card you provided, you agree that Dot Com Today may pursue all available remedies in order to obtain payment. You agree that among the remedies Dot Com Today may pursue in order to effect payment, shall include but will not be limited to, immediate cancellation without notice to you of any web site or other Dot Com Today Service being provided to you by Dot Com Today on your behalf. Dot Com Today reserves the right to charge a reasonable administrative fee for administrative tasks outside the scope of its regular Services, including additional costs that it may incur in providing the Services and pass along to you. These include, but are not limited to, customer service issues that cannot be handled over email but require personal service, fees incurred by third parties you have elected to use as payment methods, and disputes that require legal services. These charges will be billed to your credit card or Payment Method we have on file for you. You understand that in addition to any administrative fees Dot Com Today may charge for the handling of the chargeback.


Disclaimer of Warranties

Applicable Law and Venue

Any dispute relating in any way to your use of the Site or the Dot Com Today Content and Services shall be submitted to confidential arbitration in Orange County, Florida, except that, to the extent you have in any manner violated or threatened to violate Dot Com Today’s intellectual property rights, Dot Com Today may seek injunctive or other appropriate relief in any state or federal court in the State of Florida, and you consent to the exclusive jurisdiction and venue in such courts. Arbitration under this provision shall be conducted by a single arbitrator under the rules then prevailing of the American Arbitration Provision. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to the Site Terms and Dot Com Today Services Terms, whether through class arbitration proceedings or otherwise.


Termination

Notwithstanding any of these Site Terms and Service Terms, Dot Com Today reserves the right, without notice and in its sole discretion, to terminate your account and/or to block your use of the Site and Services.


Transfer of Services

Dot Com Today’s Websites, Content and Services are non-transferable for any reason. We host, manage and service the websites we build. Transfers of service are prohibited.


Refunds and Cancellations

All products and services provided to You by Dot Com Today are non-refundable, except for the following: You may receive a full refund of $99.00 for Your initial down payment of a new Web Site if You submit a cancellation request to Dot Com Today within 48 hours or two calendar business days (Monday thru Friday) of making Your initial purchase. Your cancellation and refund request must be submitted to Dot Com Today via fax at 407-877-1617. After 48 hours, Your $99.00 initial down payment is non-refundable.

All fees paid for Web Site, Hosting and Other Products and Services provided to You by Dot Com Today are non-refundable. 

Cancellation requests of Web Site, Hosting and Other Products and Services provided to You by Dot Com Today must be submitted in writing a minimum of 30 days prior to cancellation and Your cancellation request must be submitted to Dot Com Today via U.S. postal mail or fax. Cancellation requests can be faxed to 407-877-1617. Email requests to cancel services will not be accepted.

In the event You decide to cancel services before your minimum signed agreement terms with Dot Com Today have been satisfied, any and all remaining debts incurred by You for Web Site, Hosting and Other Products and Services provided to You by Dot Com Today will become payable immediately and charged to Your Dot Com Today Membership Account prior to closing Your Account.  


Miscellaneous Provisions

Any waiver of any provision of the Site Terms and Dot Com Today Service Terms will be effective only if in writing and signed by Dot Com Today. If any clause in the Site Terms or Service Terms is found to be unenforceable, wherever possible this will not affect any other clause and each will remain in full force and effect. Any rights not expressly granted herein are reserved.


Force Majeure

Dot Com Today will make every effort to keep its web site and Services operational. However, certain technical difficulties and other factors outside of its control may, from time to time, result in temporary service interruptions. You agree not to hold Dot Com Today liable for any of the consequences of such interruptions.


Changes to Site and Service Terms

Dot Com Today reserves the right to change any of the terms and conditions contained in the Site Terms and Dot Com Today Service Terms or any policy or guideline of the Site and Services, at any time and its sole discretion. When we make changes, we will revise the “last updated” date at the bottom of the Site Terms. Any changes will be effective immediately upon posting on the Site.
